Atlantic BidFlow Growth Partner Program Addendum

This Growth Partner Program Addendum ("Addendum") supplements the Atlantic BidFlow User Agreement and governs participation in the Growth Partner Program. By accepting this Addendum during enrollment, you agree to all terms herein.

1. Program Overview

The Growth Partner Program provides invitation-only access to the Atlantic BidFlow platform at no monthly subscription cost. In exchange, a Success Fee applies to qualifying federal prime contract awards as described below.

2. Success Fee

• A Success Fee of 2% of the total contract value applies to qualifying federal prime contract awards won by the partner where the underlying solicitation was delivered to the partner's daily digest.
• The minimum qualifying award value is $75,000.
• The maximum Success Fee is $4,800 per 12-month enrollment period. Fees that would exceed this cap are not charged.
• The program period begins on the enrollment date and renews annually.

3. Attribution

A solicitation is attributed to the program when it was delivered to the partner's daily digest on or before the award date. Atlantic BidFlow maintains an attribution log accessible in the partner portal.

4. Invoice and Payment

• Upon admin confirmation of a qualifying win, a 14-day pre-invoice notice is sent.
• A formal invoice is issued with Net 90 payment terms.
• Payment reminders are sent at 30 days and 7 days before the due date.
• Invoices are sequentially numbered and issued by AMCI DBA Atlantic BidFlow, 101 E Kennedy Blvd 41st Floor, Tampa FL 33602.

5. Disputes

Partners may dispute an invoice within 30 days of issuance via the partner portal. Disputes are reviewed by Atlantic BidFlow management. Atlantic BidFlow's determination is final. Disputed invoices are placed on hold during review.

6. Termination

Either party may terminate program participation with 30 days written notice. Outstanding invoices remain due upon termination. Atlantic BidFlow reserves the right to terminate for misuse of the platform or failure to pay undisputed invoices.

7. Governing Law

This Addendum is governed by the laws of the State of Florida. Disputes shall be resolved in Hillsborough County, Florida.
